Terms of Service

1.Acceptance of Terms

By accessing or using the Service, operated by Origin Neural ("Company", "we", "us"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. You must be at least 18 years of age or the age of majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2.Description of Service

Origin Neural operates a Verified Molecular Intelligence platform providing AI-generated molecular binding predictions with blockchain-verified provenance. The catalogue comprises 33,325,916 predictions generated by the Sovereign Proof Engine, a proprietary 5-gate verification pipeline (Smooth Wall, Sovereign MLP, Logic Wall, Manifold Check, Proof Hash).

Generation of new predictions was suspended on 22 February 2026 and the catalogue is sealed as of that date. The prediction engine remains operational and may be run against partner-specified targets under an executed agreement.

All prediction data is research-grade computational output and does not constitute medical advice, drug recommendations, clinical guidance, or any form of professional healthcare counsel.

3.Access Model

Access to the catalogue, the prediction engine, and related data products is available exclusively through partnership engagements governed by a written agreement executed between the partner and Origin Neural. There is no self-serve subscription, account registration, or individual purchase facility.

Public access is limited to published provenance records, which may be independently verified against the Bitcoin SV blockchain without registration or the involvement of Origin Neural.

4.Commercial Licensing

Catalogue access, engine licensing, commissioned prediction campaigns, verification-layer services, and research collaborations are licensed under Structured Licensing Agreements ("SLAs"). Strategic licenses may involve tiered pricing structures including upfront data access fees, milestone-based payments tied to research progress, commercial milestone payments, and net sales royalties. Field-of-use carve-outs may grant exclusivity within defined therapeutic areas. All licenses require a separate written agreement executed by both parties. Indicative commercial ranges are set out in the License Agreement.

5.Acceptable Use

You agree not to:

• scrape, crawl, or systematically extract data from the Service beyond the limits designated in your agreement;
• redistribute, resell, or sublicense prediction data without written authorisation;
• attempt to reverse-engineer, reconstruct, or extract model weights, architecture, or training data from the Service's outputs;
• circumvent access controls, authentication mechanisms, or contractual access restrictions;
• use the Service for any unlawful purpose or in violation of applicable export control regulations;
• remove, alter, or obscure any watermarks, attribution markers, or proprietary notices embedded in the data;
• use automated tools to bypass rate limits or quota enforcement.

Violation of these terms may result in immediate suspension or termination of access.

6.Data Accuracy & Disclaimer

All predictions provided by the Service are computational estimates generated by an autonomous AI system. Predictions have not been validated through wet-lab experimentation, clinical trials, or independent assay confirmation. Binding scores, pIC50 values, ADMET profiles, and drug scores are statistical outputs of the Sovereign Proof Engine and should be treated as research hypotheses requiring experimental validation.

Reported model performance figures, including holdout accuracy, are measured internally by Origin Neural and have not been independently benchmarked by a third party. Origin Neural makes no guarantee regarding the accuracy, completeness, or fitness for purpose of any prediction data. Users assume all risk associated with reliance on prediction outputs.

7.Blockchain Provenance

Provenance records anchored to the Bitcoin SV blockchain establish that a batch of predictions existed in a given form as of a given date, that it has not been altered since, and that the record was signed by the holder of the key it names. Such records do not evidence the biological accuracy, safety, efficacy, or developability of any compound, and must not be represented as doing so.

8.Limitation of Liability

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Origin Neural, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Origin Neural's total liability shall not exceed the aggregate fees paid by you in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

9.Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

10.Modifications

Origin Neural reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior notice by email or by posting a prominent notice on the Service. Non-material changes (e.g. formatting, clarifications) may take effect immediately. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. Where a written agreement executed between you and Origin Neural conflicts with these Terms, that agreement governs.
